Manufacturer Terms & Conditions

These terms and conditions govern your participation in Robinson Empire's B2B manufacturing marketplace, connecting verified manufacturers with wholesale buyers seeking reliable production partners.

B2B Manufacturing Partnership Agreement

To access and use the B2B manufacturing services, you must register for a Robinson Empire Manufacturer Account by providing your full legal business name, current address, phone number, a valid email address, manufacturing licenses, and any other required documentation. Robinson Empire may reject your application for an account or cancel an existing account at our sole discretion.

You must be older than:

(i) 18 years, or
(ii) At least the age of majority in the jurisdiction where you reside and from which you use the services to open an account.

You confirm that you are receiving any services provided by Robinson Empire for business purposes and not for personal, household, or family use.

You acknowledge that Robinson Empire will use the email address you provide when opening an account or updating it, as the primary method for communication with you. Therefore, you must monitor your primary account email address, which must be capable of both sending and receiving messages.

You are responsible for keeping your password secure. Robinson Empire cannot and will not be liable for any loss or damage resulting from your failure to maintain the security of your account and password.

You are responsible for all activity and content such as photos, images, videos, graphics, written content, certifications, production specifications, or data uploaded, collected, generated, stored, displayed, distributed, transmitted, or exhibited on or in connection with your account.

A breach or violation of any term in the Terms of Service may result in an immediate termination of your services.

1. Manufacturer Account Terms

The person signing up for the service by opening an account will be the contracting party ("Manufacturer") for the purposes of our Terms of Service and will be the person authorized to use any corresponding account provided in connection with the service.

If you are signing up for the services on behalf of your employer, your employer shall be the manufacturer. You must use your employer-issued email address and declare and warrant that you have the authority to bind your employer to our Terms of Service.

Your Robinson Empire Manufacturer Account can only be associated with one manufacturing entity. A manufacturer may have multiple Robinson Empire Accounts for different production facilities.

Manufacturers must provide accurate and up-to-date business registration documents, tax identification numbers, and manufacturing certifications as required by law and industry standards.

2. Manufacturer Account Activation

All manufacturers must complete our verification process before receiving RFQs (Request for Quotes) or accepting orders:

REQUIRED DOCUMENTATION:
• Valid business registration and tax identification
• Manufacturing facility address and contact information
• Production capacity documentation
• Quality control procedures
• Lead time estimates for different order volumes

OPTIONAL CERTIFICATIONS (Recommended):
• ISO 9001 (Quality Management)
• ISO 14001 (Environmental Management)
• Industry-specific certifications (FDA, CE, GMP, etc.)
• Safety certifications (OSHA compliance, etc.)

Robinson Empire reserves the right to conduct periodic audits of manufacturer facilities and documentation to ensure compliance with platform standards.

Manufacturers displaying certification badges must maintain current and valid certifications. Displaying expired or fraudulent certifications will result in immediate account suspension.

3. Verification & Certification Requirements

Robinson Empire provides a platform for buyers to submit RFQs to manufacturers based on product category, production capacity, and geographic preferences.

MANUFACTURER RESPONSIBILITIES:
• Respond to qualified RFQs within 48 hours during business days
• Provide accurate quotes including tiered pricing options
• Specify realistic lead times based on current production capacity
• Attach relevant certifications and quality credentials to quotes
• Communicate professionally with buyers through the platform

QUOTE REQUIREMENTS:
• Detailed pricing breakdown (unit cost, setup fees, tooling costs if applicable)
• Volume discounts and MOQ (Minimum Order Quantity) specifications
• Lead times for production and delivery
• Payment terms based on subscription plan
• Any limitations or special requirements

Manufacturers may decline RFQs that exceed their production capacity or do not align with their manufacturing capabilities.

4. RFQ (Request for Quote) Process

Once an order is accepted, manufacturers are contractually obligated to fulfill the order according to the agreed specifications, timeline, and quality standards.

PRODUCTION COMMITMENTS:
• Begin production within the agreed timeframe
• Maintain quality standards as specified in the quote
• Provide production updates through the platform
• Notify buyers immediately of any delays or issues
• Complete orders within the quoted lead times

QUALITY ASSURANCE:
• Manufacture products according to agreed specifications
• Conduct quality control inspections before shipment
• Provide certificates of conformity or inspection reports when requested
• Accept returns for defective or non-conforming products

CAPACITY MANAGEMENT:
Manufacturers must accurately track production capacity using the platform's capacity planning tools. Accepting orders that exceed available capacity is a violation of these terms.

Manufacturers found consistently failing to meet production commitments may have their accounts suspended or terminated.

5. Order Fulfillment & Production

Robinson Empire provides guaranteed payment protection for manufacturers through our escrow system.

PAYMENT TERMS BY PLAN:
• Bronze Plan: NET 30 payment terms
• Silver Plan: NET 15 payment terms
• Gold Plan: Instant payment upon delivery confirmation

ESCROW PROCESS:
1. Buyer places order and payment is held in escrow
2. Manufacturer produces and ships order
3. Buyer confirms delivery and satisfaction
4. Funds are released to manufacturer account

DISPUTE HOLD:
If a buyer files a dispute within the 14-day dispute window, payment will be held until resolution. Both parties have 10 business days to resolve disputes. If unresolved, Robinson Empire will mediate and make a final determination.

PAYMENT WITHDRAWAL:
Manufacturers can withdraw funds to their registered bank account on a weekly basis. Robinson Empire does not support third-party payment processors like PayPal for manufacturer withdrawals.

PLATFORM FEES:
• 3-5% platform fee per fulfilled order (waived for first 3 months)
• Subscription fees based on selected plan
• No additional transaction fees beyond stated commission

6. Payment Terms & Escrow

Manufacturers are responsible for all shipping and logistics unless otherwise specified in the order agreement.

SHIPPING RESPONSIBILITIES:
• Package products securely to prevent damage during transit
• Provide accurate shipping weights and dimensions
• Generate shipping labels and tracking numbers
• Meet agreed shipping deadlines
• Handle customs documentation for international shipments

SHIPPING OPTIONS:
• Manufacturers may use their preferred carriers or Robinson Empire's negotiated rates
• International shipping must include proper customs documentation
• Insurance for high-value shipments is recommended

DELIVERY CONFIRMATION:
Orders are considered delivered when:
• Tracking shows delivery to the specified address
• Buyer signs for the shipment
• Carrier leaves package at designated safe location per delivery instructions

Manufacturers are responsible for lost shipments until delivery is confirmed. Claims for lost shipments must be filed with the carrier.

7. Shipping & Logistics

Robinson Empire's Trade Assurance program provides mediation for quality disputes and return requests.

QUALITY DISPUTES:
Buyers may file quality disputes within 14 days of delivery for:
• Products not matching specifications
• Defective or damaged goods
• Incorrect quantities shipped
• Missing components or accessories

DISPUTE RESOLUTION PROCESS:
1. Buyer submits dispute with evidence (photos, documentation)
2. Manufacturer has 48 hours to respond
3. Both parties negotiate resolution (replacement, partial refund, return)
4. If unresolved in 10 business days, Robinson Empire mediates
5. Robinson Empire makes final determination based on evidence

MANUFACTURER OBLIGATIONS:
• Respond to disputes promptly and professionally
• Provide evidence supporting your position
• Accept valid returns and issue refunds as determined
• Cover return shipping for verified defective products

Gold plan members receive priority dispute handling and dedicated support.

8. Returns, Quality Disputes & Trade Assurance

"Confidential Information" shall include, but shall not be limited to, any and all information associated with a party's business and not publicly known, including specific business information, technical processes and formulas, software, customer lists, prospective customer lists, product designs, sales, costs, price lists, and other unpublished financial information.

DESIGN PROTECTION:
• Buyers retain rights to their product designs and specifications
• Manufacturers may not reproduce buyer designs for other customers without written permission
• Manufacturers may not share buyer information with third parties
• NDA agreements can be established through the platform

Robinson Empire's Confidential Information includes all information that you receive relating to us or to the services that is not known to the general public.

Each party agrees to use the other party's Confidential Information solely as necessary for performing its obligations under these Terms of Service.

Manufacturers found violating confidentiality or misusing buyer intellectual property will be immediately terminated from the platform.

9. Confidentiality & Intellectual Property

You expressly understand and agree that, to the extent permitted by applicable laws, Robinson Empire shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of, or inability to use, the service.

To the extent permitted by applicable laws, in no event shall Robinson Empire or our suppliers be liable for lost profits or any special, incidental, or consequential damages arising out of, or in connection with, our site, our services, or these Terms of Service.

You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, Robinson Empire partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Service.

Your use of the services is at your sole risk. The services are provided on an "as is" and "as available" basis without any warranty or condition, express, implied, or statutory.

Robinson Empire is not responsible for any manufacturing defects, product liability claims, or quality issues arising from the products you produce. Manufacturers maintain full liability for their manufactured goods.

10. Limitation of Liability

You may cancel your account and terminate the Terms of Service at any time by contacting Robinson Empire Support.

Upon termination of the services by either party for any reason:

• Robinson Empire will cease providing you with the services
• You will no longer be able to access your account
• Active orders must be completed or transferred per buyer agreement
• Outstanding payments will be processed according to payment terms
• Any outstanding balance owed to Robinson Empire becomes immediately due

MANUFACTURER-SPECIFIC TERMINATION TERMS:
• Open RFQs will be withdrawn from the platform
• Pending quotes will be cancelled
• Manufacturers must fulfill any accepted orders or negotiate cancellation with buyers
• Quality dispute resolution continues for orders placed prior to termination

SUSPENSION GROUNDS:
Robinson Empire may immediately suspend or terminate accounts for:
• Fraudulent activity
• Consistent failure to meet production commitments
• Misrepresentation of manufacturing capabilities
• Violation of confidentiality agreements
• Displaying fraudulent certifications
• Violation of Acceptable Use Policy

11. Termination & Account Cancellation

Robinson Empire offers three subscription tiers for manufacturers:

BRONZE - $99/month:

• Basic analytics

SILVER - $299/month (Most Popular):
• Up to 500 manufacturing SKUs

• Quote templates

GOLD - $799/month:
